1. Introduction
These terms govern use of gemsenterprises.in by visitors, prospective customers and clients of Gems Enterprises, an IT consulting and software development provider.
2. Services
Custom software; desktop, web and mobile applications; back-office and inventory systems; task management; financial software; retail and event management apps; IT consulting and maintenance. Scope varies by project and website information is not a binding offer.
3. Acceptance of terms
Use the site lawfully, give accurate information, respect intellectual property, avoid disrupting the site and comply with Indian laws. If acting for an organisation, you must have authority to do so.
4. Website use and restrictions
You may not access restricted systems, introduce malware, copy or scrape content without permission, misrepresent your identity or disrupt the site. Access may be restricted for violations.
5. Enquiries and project engagements
Submitting an enquiry does not automatically create a contractual relationship. Formal work is governed by quotes, proposals, statements of work or signed agreements, which prevail over these terms on conflicting matters.
6. Pricing and payment
Pricing depends on project scope. Quotes require acceptance, scope changes may add charges, GST and statutory taxes apply, and the website does not process transactions.
7. Delivery and client responsibilities
Clients supply accurate requirements, approvals and feedback. Timelines depend on these inputs, third-party dependencies and feasibility. Changes follow agreed change control.
8. Intellectual property
Website content belongs to Gems or is used under authorisation. Ownership of client deliverables is set by project agreements; third-party components keep their own licences.
9. Confidentiality and privacy
Confidential information is handled under separate agreements or NDAs. Enquiry details are handled under our Privacy Policy and Indian data protection laws.
10. Third-party services and links
We do not control external sites or services; their own terms apply and links do not imply endorsement.
11. Availability, support and warranties
Uninterrupted access is not guaranteed and the site is provided "as available". Support commitments and response times are defined in client agreements; website references to 24/7 support are not unconditional guarantees.
12. Liability and indemnity
Gems excludes indirect or consequential losses arising from website use. Users indemnify Gems against third-party claims from unlawful use, infringement or material breach of these terms.
13. Changes, termination and force majeure
Terms may be revised with an updated date. Access may be restricted for security or violations without ending separate client contracts. Gems is not responsible for delays beyond its reasonable control.
14. Governing law and disputes
Indian law governs. Parties are encouraged to resolve disputes amicably in writing first, after which Indian courts may be used. Invalid provisions are severed and non-enforcement is not a waiver.
